1) OBJECT OF THE CONTRACT
These terms and conditions apply to the relationship between PROSUCCESS FZCO and those who purchase services offered by PROSUCCESS FZCO and/or related to the “bepro” brand, including through the website www.be-pro.io, which is the exclusive property of PROSUCCESS FZCO, which holds all applicable intellectual and industrial property rights. PROSUCCESS FZCO customers will be entitled to the services provided at the time of purchase and may not claim to use any material relating to services developed and created subsequently.
The purchase of services offered by PROSUCCESS FZCO and/or connected to the “bepro” brand, including through the website www.be-pro.io, implies full acceptance, without reservation, of the current terms and conditions governing the sale.
PROSUCCESS FZCO may modify these terms and conditions unilaterally at any time, without notice. The applicable terms and conditions are those in effect at the time of purchase.
Each user is required to check these conditions to ascertain any changes that have occurred since the last consultation of the site. The purchase of the services offered and the use of the site and the mentioned services entails total acceptance of the following conditions and the changes that have occurred in the meantime. Therefore, by making a purchase on this site users automatically accept the following terms and conditions.
The service provided consists of an obligation of means and not of result, therefore PROSUCCESS FZCO is not responsible for any losses or failure to realize expected profits following the services provided.
Violation of any of the Terms, as determined in PROSUCCESS FZCO’s sole discretion, may result in immediate termination of your Services.
These contractual conditions govern the purchase and use of the consultancy services provided by PROSUCCESS FZCO (hereinafter, the “Consulting Services”).
Our Consulting Services are highly interactive and personalized, designed to provide professional and strategic support in management consulting, business development, marketing, social media communications, and, more generally, personal and business development and optimization.
Consulting Services are provided through the following methods:
a) Pro Consulting, costituito da consulenze private e personalizzate, erogate anche attraverso strumenti e canali digitali, svolte in favore del singolo Cliente e orientate all’analisi delle sue specifiche esigenze e problematiche;
b) Pro Membership, consisting of a continuous consulting service through live group counseling sessions reserved for a select number of members and not freely accessible to the public, also delivered through digital tools and channels, which allow participating clients to ask questions, submit their specific requests, and receive personalized answers and guidance in real time; an interactive, practical, and direct space, where each session does not follow a pre-established path but is built on the specific, real needs of the members present.
Consulting services can be provided in person or remotely, including through the use of digital tools and communication technologies, with the support of PROSUCCESS FZCO’s collaborators and professionals.
By way of example, Consulting Services may include business analysis and development, business process organization and optimization, human resources management, cost efficiency, marketing, commercial strategies, information management, and customer relations.
Customers will have one year, starting from the date of purchase of the Consulting Services, to take advantage of the offer reserved for them; after this period has elapsed, they will not be entitled to any refund. After the one-year period, any unused Consulting Services will no longer be available and the Customer will not be entitled to any refund.
Access to the Consulting Services is via accreditation provided by PROSUCCESS FZCO following the purchase phase, generally provided via email.
2) DURATION AND LOCATION OF THE SERVICES
The Consulting Services provided by PROSUCCESS FZCO are divided into the following options: Pro Consulting, for private and personalized consultations; Pro Membership, for recurring group consultations.
The duration of Pro Consulting Services varies based on the type of package chosen by the Client at the time of purchase or, where applicable, with a specific contractual appendix. The effective date is the date of purchase of the service. The contract is automatically renewed upon expiration for the same agreed-upon term without any obligation to notify PROSUCCESS FZCO, unless the Client cancels in writing at least 60 days prior to the expiration date, to the address indicated on the purchase form and on the website.
The Parties may not unilaterally withdraw from the Contract for its entire duration.
As for the Pro Membership Consulting Service, it has an annual duration, starting from the date of purchase, and is tacitly renewed upon expiry for a further period of twelve (12) months, under the same conditions, unless the Customer cancels it in writing at least sixty (60) days before the expiry date, to the address indicated in the purchase form and on the website.
Unless otherwise provided for in relation to the specific formula or package purchased, the Consulting Services are considered tacitly renewed upon expiry for the same agreed duration and under the same conditions, without the need for communication from PROSUCCESS FZCO, unless canceled by the Customer to be communicated in writing at least sixty (60) days prior to the expiry date, to the address indicated in the purchase form and on the website.
The Parties may not unilaterally withdraw from the Contract for the entire duration thereof, unless otherwise provided for in these contractual conditions.
The dates and locations of the consultancy services will be periodically communicated and the Client will be free to confirm his/her participation, in compliance with the time limit referred to in art. 1. 1. In any case, PROSUCCESS FZCO reserves the right to change the dates and locations of the Consulting Services based on its organizational needs and actual logistical capabilities. In this case, the Client, within 5 days of notification, may request to participate in another Consulting Service within the following 12 months, paying any difference between the participation fee for the chosen replacement Consulting Service and that of the paid Consulting Service. Any difference will not be refunded. Failing this, participation in the Consulting Service will be deemed confirmed for the new dates and/or locations indicated.
For proven supervening just cause that prevents participation in the Consulting Services (illness, serious impediment due to force majeure, etc.), the Customer may communicate in writing, provided that the Consulting Service has not already taken place, the desire to postpone participation in a Consulting Service, for which he has previously completed the purchase and made the payment, provided that the subsequent date chosen falls within twelve months following the originally planned participation date.
Clients must register in advance for each Consulting Service they intend to attend, communicating their request to PROSUCCESS FZCO. PROSUCCESS FZCO will confirm availability or, failing that, indicate a later available date. If the Client is unable to attend the Consulting Service for which they have registered for personal reasons, they must notify PROSUCCESS FZCO in writing within 5 days of the start of the Service.
3) METHODS OF PROVIDING CONSULTANCY SERVICES
The Consulting Services provided by PROSUCCESS FZCO are carried out through the two formulas Pro Consulting and Pro Membership, according to the methods established for each of them.
With regard to the Pro Consulting service, the consulting activity will be performed by professional consultants selected by PROSUCCESS FZCO, via digital channels through remote sessions and/or at locations selected from time to time by PROSUCCESS FZCO. Consulting activities may also include assistance through telephone and electronic conferences and negotiation meetings. PROSUCCESS FZCO reserves the right to decide, at its sole discretion, the methods, locations, and times for all consulting services, which will be communicated to the Client from time to time.
With regard to the provision of services, a report will be prepared detailing the activities performed and the hours spent. The consulting hours agreed upon for each year must be used within the relevant year, in the locations and according to the methods indicated by PROSUCCESS FZCO. Otherwise, the remaining hours will not be provided, and they cannot be accumulated with the hours scheduled for subsequent years.
In any case in which the Client has not taken advantage of the hours of consultancy activity agreed upon within the reference year, in the places and according to the methods indicated by PROSUCCESS FZCO, due to the Client’s absence from the appointments indicated by PROSUCCESS FZCO or for any other reason, he/she will not be entitled to obtain any refund.
After the reference year period has elapsed, the Customer will no longer be able to use any type of service and will not be entitled to any refund.
The Pro Membership service consists of a continuous consulting service through live group counseling sessions reserved for a select number of members and not freely accessible to the public. These sessions are also provided through digital tools and channels, allowing participating clients to ask questions, submit specific requests, and receive personalized answers and guidance in real time. This interactive, practical, and direct space provides a space where each session does not follow a predetermined path but is tailored to the specific, real needs of the members present.
Depending on the package chosen, Pro Membership includes participation in one or more group sessions per month, according to the calendar and methods communicated by PROSUCCESS FZCO.
The meetings are led by consultants and professionals identified and appointed by PROSUCCESS FZCO and may cover managerial, entrepreneurial, strategic, commercial, organizational, and personal and business development topics, in line with the objectives of the specific Membership. Participation in individual sessions is subject to the booking requirements applicable to the specific Membership.
If the Client does not participate in one or more sessions included in their package, they will not be recoverable or cumulative with sessions in subsequent months and will not give rise to any refund.
4) FEES AND CONTRIBUTIONS – EXPENSES
For the Consulting Services covered by this contract, PROSUCCESS FZCO will be entitled to the fee indicated to the Customer at the time of purchase, based on the formula and package chosen between Pro Consulting and Pro Membership.
The fee, payment methods, and any due dates are those indicated in the commercial offer, purchase form, or related contract. In the event of payment in installments, the Customer is required to pay all amounts by the agreed due dates, regardless of actual use of the services included in the purchased package.
Regarding the Pro Consulting Consulting Service, the Company, for the activity covered by this agreement, will be entitled to a fee equal to the amount indicated at the time of purchase. During the purchase process, the Client will choose between the various types of service and indicate the number of consulting hours per year they wish to utilize. The agreed-upon amounts must be paid for each year according to the payment methods and due dates selected (Monthly, Quarterly, Semi-Annual, Annual). If the Client, for reasons not attributable to PROSUCCESS FZCO, fails to utilize all the hours agreed upon at the time of subscription for each year, they will not be able to recover the unused hours and payment will still be due for the full agreed-upon annual amount.
The Client agrees to pay the full amount for each annual installment, annually, and for the entire duration of the agreement, regardless of whether the purchased hours are actually used. In the event of a multi-year agreement, the Client is required to pay the agreed-upon amount in full in any case, even if the Client has not used the hours and, therefore, the contract has not begun in that year. The amount does not include any travel and accommodation expenses that may be incurred by the Client to utilize the consulting services covered by this agreement. Likewise, travel and accommodation expenses that may be incurred by PROSUCCESS FZCO, on behalf of and in the interest of the Client, to provide the services covered by this agreement are not included. In this case, the Client agrees to reimburse PROSUCCESS FZCO for such expenses upon presentation of the invoice.
Consulting hours exceeding the agreed annual hours, or any activity not included in the scope of this contract, printing and/or delivery of material related to the consultancy of this contract, will require the payment of additional amounts with the inclusion of a debit note which must be paid within the terms indicated by the Company upon completion of the activities subject to additional compensation.
For the Pro Membership Consulting Service, the fee includes access to the recurring group consultations included in the chosen package, in the amount of one or more monthly sessions for the annual duration of the Membership. Sessions not used by the Client during the relevant period cannot be made up or combined with those of subsequent periods and will not be eligible for a refund.
The Client is responsible for any damages directly caused to PROSUCCESS FZCO, its collaborators, other participants or third parties as a result of his/her conduct during any activities carried out in person.
PROSUCCESS FZCO does not provide Customers with health coverage, accident insurance or life insurance, unless otherwise expressly communicated for the specific service or event
5) PRICES
The prices indicated include VAT, if and where applicable, and are expressed in euros or AED. Prices and the reference currency may be changed at any time and without notice by PROSUCCESS FZCO and will be considered fixed at the time of purchase by the Customer. Where indicated, shipping costs will be applied.
In the event of a change in the VAT rate, if and where applicable, between the time of purchase by the Customer and the time of provision of the Consulting Services, PROSUCCESS FZCO will communicate such change to the Customer, requesting payment in the event of an increase, or refunding any excess in the event of a decrease in the rate. In the event of an increase in the rate, if the user does not pay such change within fourteen (14) days, PROSUCCESS FZCO shall cancel the purchase and refund to the Customer any sums already collected, remitting such sums to the same source from which the payment was received.
6) PAYMENT TERMS
The Customer agrees to pay the full amount due for the selected Consulting Service at the time of purchase. Any promotions that provide discounts or payment extensions are subject to the Customer’s compliance with the payment terms. If these terms are not met, the Customer will be required to pay the full price.
For payment by installments, the participant must return the appropriate forms with the debit authorization to PROSUCCESS FZCO (prosuccessfzco@gmail.com) by email. Failure to receive these forms will invalidate these payment methods, and the participant will be required to pay the full price immediately.
For Customers who choose to pay via financing, approval of the relevant application is subject to the discretionary assessment of the finance company. PROSUCCESS FZCO cannot be held responsible for its actions, including with regard to the timing of the approval process. Following final approval of the financing by the finance company, the purchase price will be charged to the Customer according to the timeframe and methods indicated in the financing agreement entered into between the Customer and the finance company. If the financing is not approved by the finance company, the services offered by PROSUCCESS FZCO will not be provided unless the Customer promptly proceeds with payment of the price using other methods.
7) PAYMENT METHODS
Payment methods include Visa and MasterCard credit cards, PayPal, bank transfer, coupons, Stripe, and Payoneer. The information provided by the Client will be used by PROSUCCESS FZCO to process all payments due and, with regard to Consulting Services subject to automatic renewal, for the entire duration of the subscription and related renewals, and for tax, anti-terrorism, and anti-money laundering obligations.
If you pay by bank transfer to the account held by PROSUCCESS FZCO, the Consulting Services will be provided only once the payment has been received. PROSUCCESS FZCO may, at its sole discretion and without notice, change the accepted payment methods.
8) VARIATIONS
If PROSUCCESS FZCO deems, for unquestionable reasons, that the Consulting Services cannot be performed in the manner, on the dates, and at the locations scheduled, the Company undertakes to notify participants, who will not be entitled to any compensation and/or reimbursement, and to communicate the new dates and/or locations where the Consulting Services will be held. Within five days of notification, the Client may request in writing to participate in another Consulting Service within the following 12 months, paying any positive difference between the participation fee for the chosen replacement Consulting Service and that of the paid Consulting Service. Any negative differences will not be refunded.
Otherwise, your participation in the Consulting Service will be considered confirmed on the new dates and/or locations indicated.
9) WITHDRAWAL
The right of withdrawal is not foreseen:
– for the Pro Consulting and Pro Membership Consulting Services, as the professional consulting services provided by PROSUCCESS FZCO are personalized and, from the immediate start of the professional service, regulated exclusively by the laws of the United Arab Emirates.
Regardless of what is provided by law regarding the right of withdrawal, PROSUCCESS FZCO reserves the right, at its sole discretion, to grant the same within 14 days of signing up, guaranteeing in this case a full refund of the amount paid.
By purchasing, the Customer agrees not to receive any refund and to waive any right of withdrawal pursuant to the law.
10) AFFILIATE AND/OR COLLABORATOR
Each affiliate and/or collaborator is responsible for their own actions, if any rules are broken, we reserve the right to ban a user from the department irreversibly.
The affiliates and/or collaborators are not direct collaborators of PROSUCCESS FZCO and have no power of representation. PROSUCCESS FZCO has no responsibility for the actions of affiliates and/or collaborators.
Each affiliate and/or contributor must display the following notice at the bottom of each page they directly promote: “This page is not created and/or operated by PROSUCCESS FZCO, or any business entity associated with PROSUCCESS FZCO. This page is owned by an affiliate and/or contributor who assumes responsibility for the terms and conditions in the affiliate and/or contributor section.”
It is absolutely forbidden to include messages and/or communications that include a promise of guaranteed monetary gain linked to the time to reach an X figure or to explicitly indicated figures.
It is absolutely forbidden to promote by indicating contents / services not actually included in PROSUCCESS FZCO.
It is absolutely forbidden to use testimonials and/or results that are false or not present on the official PROSUCCESS FZCO pages.
11) INABILITY TO PARTICIPATE IN CONSULTING SERVICES
In the event that the Client is unable to use the Consulting, Pro Consulting, and Pro Membership Services already scheduled, the Client must notify PROSUCCESS FZCO in writing in compliance with the terms and conditions set forth in these contractual conditions.
In the presence of a proven supervening just cause, such as, for example, illness, serious impediment, or force majeure, communicated before the scheduled date of the Consulting Service, PROSUCCESS FZCO may allow the recovery of the service or participation in a subsequent Consulting Service, subject to availability and in any case within the validity period of the purchased service.
Regarding the Pro Consulting Consultancy Service, if the Client is unable to attend a previously scheduled individual consultation and provides notice within the established timeframe, a new date may be arranged, subject to PROSUCCESS FZCO’s availability and provided that the consultation takes place within the validity period of the purchased package.
Regarding the Pro Membership Consulting Service, if the Client is unable to attend a previously scheduled group session, the possibility of rescheduling the session will be subject to PROSUCCESS FZCO’s availability and the organizational arrangements for the specific Membership. Sessions not rescheduled within the relevant validity period cannot be combined with those of subsequent periods and will not be eligible for a refund.
In the event of non-participation without prior notification within the established timeframe, the Pro Consulting and Pro Membership will be considered regularly used and no refund will be due.
12) DISPUTES – COMPETENT COURT
Any dispute between the Customers and PROSUCCESS FZCO, arising from the formation, execution, interpretation, cancellation, termination or invalidation of this contract or arising out of it or in any way connected to it, will be resolved exclusively and finally through arbitration in accordance with the provisions of the rules (“Arbitration Rules”) of the Dubai International Arbitration Centre (DIAC), by one or more arbitrators appointed in accordance with the Rules, which the Parties declare to accept in their entirety and to which they also refer with regard to the methods of appointment of the arbitrators.
In the event that the Customer wishes to sue the Service Provider for any claim relating to this agreement after entering into it, the Customer is informed that he will not be able to request a refund or compensation.
Any written or verbal abuse (including threats of abuse or retaliation) by any customer toward any PROSUCCESS FZCO employee, member, or agent will result in immediate termination of service to the customer without refund.
13) WARNINGS AND INDEMNIFICATION
All services offered by PROSUCCESS FZCO are aimed at providing strategic consulting and support in the business and management fields. PROSUCCESS FZCO and the professionals it employs will provide exclusively customized consulting, analysis, and strategic support services tailored to the client’s needs. The client will then be free to use them, under their own sole responsibility, with diligence and discretion. Therefore, PROSUCCESS FZCO cannot be held liable in any way for any failure to achieve the objectives set by the Client, nor for any consequences of any nature or kind arising for the Client from any decisions made as a result of the Consulting Services provided. The Client therefore assumes responsibility for all of its actions and decisions, indemnifying PROSUCCESS FZCO from claims regarding any losses, damages, and/or prejudices the Client may suffer.
In the event of purchase of the Pro Consulting and Pro Membership consultancy services, in the event of failure to pay even a single installment and under the pre-established conditions, PROSUCCESS FZCO will interrupt the provision of the consultancy services and will take action against the Client to recover the agreed amount.
To the extent permitted by applicable laws, neither PROSUCCESS FZCO nor its suppliers shall be liable in any way for any damages of any nature whatsoever, whether special, incidental or consequential, arising out of or in connection with our site, terms and conditions (however its origin, including negligence). Customer agrees to indemnify and hold harmless PROSUCCESS FZCO and (where applicable) its parent, subsidiary and affiliated companies, PROSUCCESS FZCO partners, officers, directors, agents, employees and suppliers in connection with any claim or demand, including expenses reasonable legal claims brought by any third party for breach of these terms and conditions or the documents incorporated herein by reference, or for your violation of any law or the rights of a third party.
PROSUCCESS FZCO is not connected in any way with Instagram, Facebook, other social networks, or external programs that may be used, and is therefore not responsible for their actions or the results they produce. PROSUCCESS FZCO is in no way responsible for any damage, problem, or inconvenience caused to the person or business for which the service is used. The service offered represents an obligation of means and not of results, and therefore does not guarantee any results. PROSUCCESS FZCO is in no way responsible for any suspension, deletion, or penalization of the Client’s account or the deletion of images, stories, and comments from Instagram, Facebook, or other social networks following the application of the strategies included in the Consulting Services.
PROSUCCESS FZCO does not warrant that the quality of any services, information, or other material purchased by you or obtained through the services will meet your expectations, or that any errors in the services will be corrected.
Users, whether purchasers or mere visitors, are solely responsible for communicating incorrect, incomplete, false information and data, or data belonging to third parties who have not given consent to the transmission of such data by users.
Users are solely responsible for the safekeeping and proper use of the information they transmit, and PROSUCCESS FZCO is in no way responsible for any damage or injury to users or third parties resulting from the improper use, loss, or theft of such information in any way.
PROSUCCESS FZCO is not responsible for any inconvenience or damage resulting from viruses, corrupted files, errors, omissions, service interruptions, deletion of content, connection problems, unauthorized access, alteration of data, failure or malfunction of user devices.
The Customer expressly agrees that any compensation will be limited to the refund of the price paid for the selected service. No higher amounts may be requested for economic, financial, or physical damages.
14) EXPRESS TERMINATION CLAUSE
This agreement will be automatically terminated, without prejudice to any damages, if the Client is found promoting network marketing companies during the PROSUCCESS FZCO Consulting Services, promoting and/or selling services not related to PROSUCCESS FZCO, or recruiting participants and investors for businesses not related to ProSuccess FZCO. Such occurrence will result in the automatic termination of this agreement and will not entitle the Client to any refund of the price paid.
15) CONFIDENTIALITY AND NON-COMPETITION AGREEMENT
The “bepro” trademark, the website www.be-pro.io, and all supporting materials for the selected service, the consultancy provided, and all services offered are the intellectual property of PROSUCCESS FZCO. Therefore, the Client may not use them for purposes other than personal use. The Client undertakes not to disclose, even on a free and/or non-commercial basis, materials and information obtained from PROSUCCESS FZCO, not to make audio-video recordings, and not to perform or have third parties perform, including through the formation of companies, Consulting Services based on such materials and information, in direct or indirect competition with the activities performed by PROSUCCESS FZCO. At the time of purchase, the Client is required to inform PROSUCCESS FZCO if they have performed or are performing, directly or on behalf of third parties, any activities that compete with the latter. In the event of violation of even one of the provisions set forth in this article, the Customer will be obliged to compensate for all direct and indirect damages caused to PROSUCCESS FZCO.
PROSUCCESS FZCO undertakes to provide its services while maintaining the utmost confidentiality regarding the Client’s data and information, with the obligation to use them solely for the purposes of carrying out the activities performed. The financial terms of this contract are subject to the same confidentiality.
